Terms of Service
By creating a Nest account, purchasing a membership or class pack, booking or attending a class or service, entering or using a Nest facility, or otherwise using Nest services, you agree to these Terms of Service and the liability waiver below.
1. Liability Waiver and Assumption of Risk
I understand that physical exercise, Lagree training, strength and cardio training, open-gym use, sauna, cold-plunge or contrast-therapy use, wellness activities, events, and other activities offered at or through Nest involve inherent risks. These risks may include falls, strains, sprains, muscle or joint injury, cardiovascular events, fainting, burns, cold exposure, equipment-related injury, communicable illness, and other known or unknown risks, including serious injury, disability, or death.
I represent that I am physically able to participate in the activities I choose and that I do not have a physical, medical, or other condition that would make participation unsafe. I understand that Nest does not provide medical advice. I will consult a qualified healthcare professional before participating when appropriate, including if I am pregnant, become pregnant, have a medical condition, experience a material change in my health, or have questions about whether an activity is appropriate for me.
I voluntarily assume all risks associated with my participation in Nest classes, private instruction, training programs, wellness services, facility use, events, and other activities, whether those risks are known or unknown and whether they occur on Nest premises or in connection with a Nest-sponsored activity.
I understand that my safety is my responsibility. If I experience pain, dizziness, unusual shortness of breath, discomfort, overheating, excessive cold, numbness, or other symptoms that concern me, I will stop the activity and seek assistance. I will follow instructor, staff, posted, and equipment-specific safety instructions and will not engage in unsafe behavior. I will report unsafe conditions or behavior to Nest staff.
To the fullest extent permitted by law, I accept responsibility for injuries, losses, and damages that may result from my participation or presence at Nest and release and discharge Nest and its owners, members, managers, officers, directors, employees, instructors, contractors, agents, representatives, insurers, affiliates, successors, and assigns from claims, demands, causes of action, liabilities, and damages arising from or related to:
my use of Nest equipment, amenities, facilities, or premises;
my participation in classes, private sessions, training, wellness services, events, programs, or activities offered or sponsored by Nest; and
my presence at a Nest facility or Nest-sponsored location.
To the fullest extent permitted by law, I agree to hold harmless and indemnify Nest from claims by third parties arising from my conduct, misuse of equipment or facilities, violation of these Terms, or acts or omissions for which I am legally responsible.
I understand that accepting these Terms constitutes acceptance of this liability waiver and assumption of risk. Nothing in this waiver releases claims that cannot legally be waived under applicable law.
2. Annual Memberships
Unless otherwise stated at purchase, an Annual Membership has an initial term of one year (52 weeks). Membership fees are billed monthly beginning on the membership start date and continuing for 12 months. After the initial commitment period, the membership automatically continues on a month-to-month basis until canceled in accordance with these Terms or any written membership agreement.
After the initial commitment period, you may cancel by giving Nest written notice at least 30 days before your next billing date. If you terminate an Annual Membership before the end of the initial commitment period, an early-termination fee of $299 or the remaining balance of the initial commitment, whichever is less, may be charged to the payment method on file, except where prohibited by law or where a different written membership offer applies.
3. Promotional Memberships
Promotional, founder, presale, discounted, or special-offer memberships may carry different commitment periods, prices, included services, or conversion terms. The specific offer shown at purchase controls if it conflicts with these Terms. Unless the offer states otherwise, a promotional membership that has an initial commitment may convert to the then-applicable month-to-month membership after the commitment ends and will continue until canceled according to these Terms.
4. Three-Month Memberships
A three-month membership is a minimum three-month commitment and is billed monthly beginning on the membership start date. After the initial three-month commitment, the membership automatically continues month-to-month until canceled in writing.
After the initial commitment period, you may cancel with written notice at least 30 days before your next billing date. If you terminate during the initial commitment period, an early-termination fee of $299 or the remaining balance of the initial commitment, whichever is less, may be charged to the payment method on file, except where prohibited by law or where a different written offer applies.
5. Membership Initiation Fee
Nest reserves the right to charge a one-time membership initiation fee of up to $99 for new memberships when disclosed at the time of purchase.
6. Billing and Autopay
Memberships may require electronic autopay. Payments are due on the first day of each billing cycle. Nest may accept major credit cards, debit cards, ACH or bank debit, and other payment methods made available in the member portal.
By enrolling in autopay, you authorize Nest and its payment processor to charge the payment method on file for recurring membership fees, approved purchases, and fees authorized by these Terms or your membership agreement. You agree to maintain a valid payment method and promptly update payment information when it changes.
Returned or rejected electronic payments may be assessed a $20 handling fee to the extent permitted by law. An interruption in billing that lasts more than seven days may result in loss of a promotional or grandfathered membership rate. If a membership is canceled or terminated and later restarted, the then-current rate may apply.
Nest may terminate or suspend a membership for nonpayment, policy violations, unsafe or disruptive conduct, misuse of the facility, or other cause permitted by law. Unless required by law or otherwise stated in writing, termination for cause does not entitle the member to a refund for amounts already earned or services already provided.
7. Membership Pricing and Class Allowances
The membership price, start date, and number of included classes, credits, or services per billing cycle are established at the time of purchase. Those terms remain in effect while the membership remains continuously active, subject to any disclosed price-change rights and applicable law. Cancellation, prolonged billing interruption, or termination may end any prior pricing arrangement.
8. Unused Class or Service Credits
Unless a specific membership or offer states otherwise, class or service credits included in a membership must be used during the applicable billing cycle and do not roll over to a later billing cycle.
9. Non-Payment and Collections
If an account becomes delinquent and collection activity becomes necessary, you agree to pay reasonable costs of collection to the extent permitted by law, which may include collection-agency fees, court costs, and attorneys’ fees. Any collection fee will not exceed the amount permitted by applicable law and any written agreement.
10. Canceling Memberships
To cancel a membership after the initial commitment period, you must provide written notice to Nest at least 30 days before the requested cancellation date or next billing date, as applicable. Nest does not prorate membership periods unless required by law or expressly stated in writing. A cancellation received too late to stop the next scheduled billing cycle may take effect for the following cycle.
If you cancel during an initial commitment period, any applicable early-termination fee described above may apply. Submit cancellation requests through the cancellation method stated in your membership agreement or to info@nest.
11. Suspending or Freezing a Membership
Unless a membership offer states otherwise, a monthly membership may be suspended once per year for a period of 30 to 60 days for any reason, with written notice at least 14 days before the requested suspension. Additional suspensions may require a documented medical or other qualifying reason and are subject to Nest approval and applicable law.
12. Class Packs and Drop-Ins
Class packs and service packs may have expiration dates, which will be disclosed at purchase. Unused sessions expire on the stated expiration date unless an extension is required by law or approved by Nest for a documented medical or other qualifying reason.
Where the applicable product allows guest use, the purchaser may use eligible class-pack credits for a guest. Each guest must create an individual account, sign required waivers, and comply with Nest policies before participating.
13. Late-Cancel and No-Show Policy
If you cancel a reserved class less than 10 hours before the scheduled start time, a late-cancel fee may apply. If you do not attend a reserved class, a no-show fee or loss of credit may apply. Fees may be charged to the payment method on file or the payment method used to book the reservation.
Membership clients: late-cancel fee - $15.
Class-pack/drop-in clients: late-cancel fee - $15.
No-show for limited-credit memberships or class packs: loss of the applicable class credit.
No-show for unlimited memberships: $25 no-show fee.
Each client receives one courtesy fee waiver, subject to Nest’s procedures. Requests to use the waiver or obtain a refund of a late-cancel or no-show fee must be made within 24 hours after the scheduled class start time. Requests made later may, at Nest’s discretion and where permitted by law, be resolved as an account credit rather than a refund.
14. Tardy Policy
For safety and to minimize disruption, clients who arrive more than five minutes after the scheduled start of a class may not be permitted to join. A late client’s spot may be released to a standby client, and the late client may be treated as a no-show. First-time Lagree clients should arrive at least 10 minutes early for equipment orientation and complete any required orientation content before class.
15. Waitlist Policy
If a class is full, you may join the waitlist. Unless Nest posts a different rule, automated waitlist additions stop 12 hours before the class. After that point, you may check for newly opened spots and book directly if available.
If you can no longer attend, you must remove yourself from the waitlist. Once you are added from the waitlist into the class, the late-cancel and no-show policies apply. Please join a waitlist only when you are able to attend if a spot opens.
16. Studio Account Required
A Nest account may be required to book or use classes, services, memberships, or facility access. An account allows you to electronically accept waivers and policies and allows Nest to contact you about scheduling changes, closures, substitutions, safety issues, account matters, and other service-related information.
17. Safety and Facility Rules
You agree to comply with all posted and staff-directed safety rules. For Lagree classes, non-slip grip socks may be required. For gym and cardio areas, appropriate attire and footwear may be required. Use of phones or other electronic devices on fitness equipment may be restricted for safety.
Sauna, cold-plunge, contrast-therapy, shower, locker-room, and other wellness amenities may have separate posted time limits, age requirements, sanitation rules, health warnings, and operating procedures. You agree to follow those rules and to stop use immediately if you feel unwell.
Nest is not responsible for lost, stolen, or damaged personal belongings except to the extent required by law. Use lockers, cubbies, and other storage areas at your own risk.
18. Merchandise and Service Purchase Policy
Eligible merchandise may be exchanged within 14 days of purchase for store credit if it is unworn, unaltered, unwashed, in original condition, and has required tags or packaging. Unless required by law, cash refunds are not provided for merchandise.
Unless otherwise stated at purchase or required by law, sales of classes, workshops, private sessions, events, and other services are final, subject to Nest’s cancellation, rescheduling, and credit policies.
19. Media Consent and Release
By separately consenting to media use where required, or by participating in an activity for which clear media notice has been provided and consent is otherwise valid, you authorize Nest and its representatives, agents, affiliates, and assigns to capture photographs, video, audio, quotes, testimonials, and other recordings or depictions of you (collectively, "Media").
You authorize Nest to use, reproduce, edit, publish, distribute, display, broadcast, and create derivative promotional, educational, advertising, social-media, website, email, print, and other business materials from the Media in any medium now known or later developed, without further inspection or approval by you and without compensation, unless otherwise agreed in writing.
To the extent permitted by law, you release Nest from claims arising from the authorized capture and use of the Media, including claims relating to publicity, privacy, editing, cropping, distortion, or composite use. If you do not wish to be included in promotional media, notify Nest staff and follow any available opt-out procedure.
20. SMS Disclosure
By providing your phone number and opting in to text communications, you agree to receive text messages from Nest regarding class or service updates, account information, promotions, events, and other Nest-related information. Message and data rates may apply. Message frequency varies. Reply STOP to opt out of promotional texts or HELP for assistance. Consent to marketing texts is not a condition of purchase where prohibited by law.
21. Privacy
Nest values your privacy. Personal information, including phone numbers, is handled in accordance with the Nest Privacy Policy. Nest does not sell, rent, or share mobile opt-in information or text-message consent data with third parties for their own marketing or promotional purposes. Information may be disclosed to service providers that support Nest operations or as required by law.
22. Changes to Services and Policies
Nest may update schedules, instructors, class formats, equipment, operating hours, amenities, facility rules, membership offerings, and these Terms from time to time. Material changes will be communicated as required by law. Continued use of Nest services after updated Terms become effective constitutes acceptance to the extent permitted by law.
23. Governing Law
These Terms are intended to be governed by the laws of the State of Idaho, without regard to conflict-of-law principles, except to the extent another law must apply. Any dispute-resolution, venue, arbitration, or class-action waiver provision should be added only after review by qualified legal counsel and proper member disclosure.
